Patrick J. Kanouff
is a third generation Denver native. He received his
B.A. degree in Journalism from Creighton University
in 1991. After working for as an analyst for a
regional securities broker-dealer, he attended the
University of Denver, College of Law. He became a
partner in Davis & Ceriani, P.C., in 2002. Mr. Kanouff’s practice is a combination of complex
commercial litigation and business counseling.
Litigation Practice
Mr. Kanouff’s litigation practice
focuses on commercial disputes, corporate and securities litigation,
insurance coverage, employment dispute and real estate litigation.
He has successfully represented clients in matters involving claims
for fraud, securities law violations, director malfeasance,
misappropriation of trade secrets, shareholder derivative actions,
breach of fiduciary duty, insurance bad faith, and breach of
contract. Mr. Kanouff’s experience includes representation of both
plaintiffs and defendants before various state and federal courts
and numerous NASD/ FINRA, American Arbitration Association and
private arbitrations.
Business Law Practice
Mr. Kanouff’s business
law practice focuses on
representing individuals, businesses and investment
entities in various matters including business
formation, acquisition, operation, disposition, and
liquidation; capital funding transactions;
employment agreements; and leasing. His clients run
the gamut from individuals, family offices, boards
of directors, professional groups, limited liability
companies, limited partnerships, corporations and
investment entities.
Awards, Professional Memberships and Activities
Mr. Kanouff served on
the Colorado Bar Association special sub-committee
for the revision of Title 8 (Investment Securities)
of the Uniform Commercial Code and the Colorado Bar
Association’s Board of Governors. He has also been a
guest lecturer at the University of Denver, College
of Law.
